This Enterprise Schedule (Schedule) forms part of the FinBaze Limited Terms of Service (Terms) where FinBaze Limited provides a custom, multi-entity enterprise arrangement to a Customer.
1. Scope and priority
- This Schedule applies only where FinBaze has activated an Enterprise environment under a written enterprise arrangement or Order Form.
- Enterprise is a custom-only offering. It is not a public self-service plan and no standard price, included volume, implementation service or minimum term applies unless stated in an Order Form.
- This Schedule does not apply to ordinary self-service or bookkeeping-firm subscriptions unless an Order Form expressly incorporates them.
- The order of precedence is: signed Order Form or master services agreement; Data Processing Agreement for personal-data processing; this Schedule; the Terms; and non-binding product or marketing descriptions.
- Capitalised terms have the meanings given in the Terms unless defined here.
2. Enterprise environment
Depending on the Order Form and enabled configuration, an Enterprise environment may provide:
- management of multiple linked company or bookkeeping workspaces;
- enterprise users and cross-workspace roles;
- group dashboards, reports and document views;
- ownership or organisational views;
- intercompany functionality;
- consolidated or group-level information;
- integrations, open banking and payment-provider connections;
- API or Model Context Protocol access; and
- AI-assisted functionality.
Only functionality included in the Order Form or enabled for the Customer forms part of the purchased Service.
UK tax or HMRC functionality, including Making Tax Digital functionality, is available where FinBaze has enabled the relevant filing channel for the Customer. The Customer remains responsible for review, approval, deadlines, tax positions, payments and acceptance by HMRC.
AI, API and Model Context Protocol use is subject to the AI and Acceptable Use Addendum.
3. Order Form and custom commercial terms
- Enterprise access, fees, currency, billing frequency, term, renewal, notice periods, included volumes, usage charges, implementation work, support commitments and any service levels are determined exclusively by the Order Form.
- Marketing references to enterprise features, custom pricing, dedicated support or availability are illustrative and do not create a contractual commitment.
- An Enterprise arrangement begins when the Order Form is accepted or FinBaze activates the environment following the Customer's written instruction.
- Changes to fixed commercial terms require a written amendment unless the Order Form contains an agreed indexation or review mechanism.
- Cancelling or unlinking one workspace does not terminate the Enterprise arrangement or reduce fees unless the Order Form expressly provides otherwise.
- FinBaze Limited is the contracting and billing party. Prices exclude VAT and similar taxes unless expressly stated otherwise.
4. Affiliates and linked entities
- The Customer may add its Affiliates and their workspaces to the Enterprise environment without separate contractual documentation for each Affiliate, subject to the Order Form's scope, limits and pricing.
- The Customer enters into the Agreement for itself and is responsible for all participating Affiliates and Enterprise Users.
- An Affiliate does not become a separate contracting customer merely because its workspace is linked.
- The Customer warrants that it is authorised to:
- add each Affiliate and workspace;
- grant cross-entity access;
- provide instructions on behalf of participating Affiliates; and
- accept responsibility for their use, data and fees.
- A separate agreement is required only where FinBaze agrees in writing that an Affiliate will contract or be billed independently.
5. Access and Customer responsibilities
- The Customer must appoint administrators to manage Enterprise Users, roles, linked workspaces and integrations.
- The Customer must apply least-privilege access and promptly revoke access when no longer required.
- Cross-workspace access may expose financial, tax, banking, document and personal data from several entities. The Customer must ensure that such access is lawful and internally authorised.
- Actions taken by Enterprise Users bind the Customer.
- The Customer remains responsible for accounting policies, group reporting, consolidation decisions, filings, payments and use of generated outputs.
- FinBaze is a software provider and does not become the Customer's accountant, tax adviser, auditor, lawyer or payment provider merely by providing Enterprise functionality.
6. Support and service levels
- Unless an Order Form states otherwise, FinBaze provides support on a reasonable-efforts basis through info@finbaze.com.
- This Schedule does not provide guaranteed response times, uptime, service credits, dedicated personnel or security certifications.
- Any service-level agreement, implementation plan, migration service or named support contact applies only if expressly included in an Order Form or statement of work.
- The Customer must provide reasonable cooperation, authorised contacts and information needed to investigate support requests.
7. Data protection and security
- For personal data in linked workspaces, the Customer or relevant Affiliate is normally the controller and FinBaze acts as processor.
- FinBaze acts as controller for its account, billing, security, support and business-administration data as described in the Privacy Policy.
- Linking workspaces and assigning enterprise roles constitutes an instruction to make data available according to those permissions.
- The Customer is responsible for lawful intra-group sharing and for providing required notices.
- The Privacy Policy, Data Processing Agreement and AI and Acceptable Use Addendum apply as relevant.
8. Termination, export and deletion
- The term, renewal and termination rights are those stated in the Order Form. If the Order Form is silent, either party may terminate the Enterprise arrangement on 30 days' written notice.
- FinBaze may suspend or terminate in accordance with the Terms, including for non-payment, material breach, unlawful use, security risk or legal requirement.
- On termination:
- access to the Enterprise environment and group functionality ends;
- linked workspaces may be unlinked or require separate subscriptions;
- accrued fees remain payable; and
- Customer Data is handled under the Privacy Policy and DPA.
- The Customer must arrange available exports before access ends. Assisted migration applies only where purchased in an Order Form or statement of work.
- FinBaze does not provide a standard deletion certificate. A deletion certificate or custom deletion process is available only where expressly agreed in the Order Form.
- Data may be retained for applicable statutory bookkeeping periods and is subsequently deleted under the Privacy Policy and DPA.
9. Liability
The liability provisions in the Terms apply unless the Order Form expressly states a different enterprise liability allocation.
10. Changes
FinBaze may update this Schedule in accordance with the Terms. Material adverse changes affecting an active fixed-term Order Form will not override its express commercial terms unless required by law or agreed in writing.

Enterprise Schedule — FinBaze Limited
Version: 2026-08-12
Effective date: 12 August 2026
Parent terms: FinBaze Limited Terms of Service
Contracting and billing party: FinBaze Limited (company number 16303685)
Governing law: England and Wales
Language: English is authoritative. A Dutch courtesy translation is available at schedule-enterprise.nl.md. If the translations conflict, the English version prevails.
This Enterprise Schedule (Schedule) supplements the FinBaze Limited Terms of Service (Terms) for a Customer that buys a custom Enterprise arrangement from FinBaze.
By accepting an Enterprise Order Form or using an Enterprise environment, the Customer agrees to this Schedule and the Terms.
1. How this Schedule applies
1.1 Capitalised words have the meanings given in the Terms unless this Schedule defines them.
1.2 Enterprise is available only through a custom commercial agreement. This Schedule applies only where FinBaze and the Customer accept an Order Form for an Enterprise arrangement.
1.3 This Schedule forms part of the Agreement and deals specifically with Enterprise use. If it conflicts with the Terms on an Enterprise-specific matter, this Schedule prevails. The full order of precedence in clause 2.3 of the Terms continues to apply.
1.4 The AI & Acceptable Use Addendum, Privacy Policy and DPA also apply as described in the Terms.
1.5 FinBaze Limited contracts with and bills the Customer for a UK Enterprise arrangement.
2. Definitions
Affiliate means an entity that controls, is controlled by or is under common control with the Customer.
Enterprise Environment means the part of the Service through which the Customer manages multiple linked businesses or sets of books under its Enterprise arrangement.
Enterprise User means an individual whom the Customer or an Affiliate authorises to use the Enterprise Environment.
Linked Business means the records and workspace of the Customer or an Affiliate that are connected to the Enterprise Environment.
3. Order Form and custom scope
3.1 Enterprise is not a public self-service plan. The Order Form states the fees, currency, billing frequency, term, renewal, included usage, support and other services purchased by the Customer.
3.2 Only the Order Form and documents listed in the Agreement define the Enterprise arrangement. Marketing pages, demonstrations, proposals and discussions are not binding unless included in the Order Form.
3.3 FinBaze has no obligation to provide custom development, onboarding, data migration, service levels, service credits, dedicated support or professional services unless the Order Form expressly includes them.
3.4 If the Order Form is silent on a matter, the Terms and this Schedule apply.
3.5 A change to the Order Form must be agreed in writing by authorised representatives of both parties.
4. Affiliates and Linked Businesses
4.1 The Customer may link its Affiliates and their Linked Businesses to the Enterprise Environment without a separate contract or Order Form for each Affiliate, subject to the limits and fees in the Customer's Order Form.
4.2 The Customer confirms that it has authority to act for each Affiliate it links and to instruct FinBaze to make relevant Customer Data available within the Enterprise Environment.
4.3 The Customer is responsible for every Affiliate, Linked Business and Enterprise User as if their acts and omissions were the Customer's own. An Affiliate does not become a separate contracting party or gain independent rights against FinBaze unless FinBaze expressly agrees in writing.
4.4 The Customer must ensure that sharing information and access across the group is lawful and properly authorised. It must promptly disconnect a Linked Business or remove an Enterprise User when access is no longer permitted.
4.5 The Customer may not link or provide access to an unrelated third party, resell the Enterprise arrangement or offer it under another brand unless the Order Form expressly permits this.
5. Enterprise Service
5.1 The Enterprise Environment may include multi-business access, shared reporting, group views, roles, approvals, integrations and other features included in the Order Form or enabled as part of the purchased arrangement.
5.2 The Customer is responsible for:
- appointing administrators and managing user access;
- applying suitable permissions and internal approvals;
- checking that each Linked Business and Enterprise User is authorised;
- the legality, accuracy and quality of Customer Data;
- accounting policies and group adjustments;
- reviewing all reports, automated outputs and artificial intelligence outputs; and
- maintaining appropriate records and continuity arrangements.
5.3 FinBaze provides software assistance and does not become the accountant, auditor, tax adviser, lawyer or group controller of the Customer or an Affiliate.
5.4 FinBaze will provide the Service with reasonable skill and care. No uptime commitment, response time, service credit, certification or particular result applies unless the Order Form expressly states it.
5.5 Features may differ between Linked Businesses because of country, configuration, provider availability or the Order Form.
6. HMRC, Making Tax Digital and professional responsibility
6.1 UK HMRC and Making Tax Digital filing capabilities are available where enabled for the Enterprise arrangement and relevant Linked Business.
6.2 These capabilities assist with preparing or sending information. The Customer and relevant Affiliate remain responsible for the accuracy and completeness of records and returns, authority to submit, approval, deadlines, payments and compliance.
6.3 FinBaze does not guarantee that HMRC will accept a filing or that a government or provider connection will always be available. The Customer must maintain a reasonable alternative process for time-critical filings.
6.4 Automated and artificial intelligence outputs may be wrong or incomplete and require appropriate human review. The AI & Acceptable Use Addendum applies.
7. Fees, billing and term
7.1 The Enterprise fees, taxes, payment dates, term, renewal, notice periods, included usage and additional charges are only those stated in the Order Form.
7.2 FinBaze Limited invoices and collects the fees for UK Enterprise arrangements. Payment, taxes, non-payment, suspension, price changes and any indexation follow the Order Form and, where the Order Form is silent, the Terms.
7.3 Adding an Affiliate, Linked Business, user, service or usage may result in additional fees where the Order Form provides for them.
7.4 Removing a Linked Business or cancelling an individual feature does not terminate the Order Form or reduce committed fees unless the Order Form expressly says so.
7.5 The Customer may cancel or choose not to renew only in accordance with the Order Form and the Terms.
8. Data protection and security
8.1 The Customer must have all rights, instructions and lawful grounds needed for FinBaze to process Customer Data across the Enterprise Environment.
8.2 The Customer and its Affiliates are responsible for deciding their respective data protection roles and arrangements. FinBaze normally acts as processor for personal data in Linked Businesses and as controller for account, billing, security and communications data, as described in the Privacy Policy and DPA.
8.3 Linking an Affiliate or Linked Business is the Customer's instruction to FinBaze to make Customer Data available to authorised Enterprise Users according to their permissions.
8.4 The Customer must provide required privacy information and ensure that group access, artificial intelligence, messaging, integrations and filings comply with data protection law.
8.5 FinBaze's sub-processors, security commitments, international transfer arrangements and relevant notification rights are described in the Privacy Policy and DPA. Additional security or audit commitments apply only if stated in the Order Form.
8.6 Each party must comply with the confidentiality obligations in the Terms.
9. Support and Third-Party Services
9.1 FinBaze will provide the support stated in the Order Form. If the Order Form does not state specific service levels, support is provided with reasonable care through FinBaze's standard channels without guaranteed response or resolution times.
9.2 The Customer must provide timely, accurate information and reasonable cooperation when requesting support.
9.3 Third-Party Services are governed by the Terms. FinBaze is not responsible for their availability or changes, except to the extent the law does not allow that exclusion.
9.4 FinBaze may change or discontinue a feature that depends on unavailable or restricted third-party access, subject to the Terms and any express commitment in the Order Form.
10. Suspension, termination and exit
10.1 Suspension and termination rights in the Terms apply, including for abuse, illegal content, provider restrictions, non-payment, material breach and insolvency, subject to any express cure period in the Order Form.
10.2 When the Enterprise arrangement ends:
- access ends on the date stated in the Order Form or customer portal, unless suspended or terminated immediately for cause;
- the Customer must export Customer Data while access remains available;
- Linked Businesses may be disconnected;
- unpaid and accrued fees remain due; and
- Customer Data is retained and deleted under the Terms, Privacy Policy and DPA.
10.3 FinBaze does not provide a deletion certificate, assisted migration, custom export, transition service or transfer to another provider as standard. Any such service applies only if the Order Form expressly includes its scope, timing and fees.
10.4 Customer Data is generally permanently deleted within no more than one (1) year after it is marked for deletion or access ends, subject to statutory retention, legal claims, security needs and backups as described in the Terms, Privacy Policy and DPA.
10.5 The Customer is responsible for planning its exit and keeping records it is legally required to retain. FinBaze is not required to restore deleted data.
11. Liability
11.1 The liability rules in clause 15 of the Terms apply to this Schedule, the Enterprise Environment, all Affiliates and all Linked Businesses unless the Order Form expressly sets a different liability arrangement.
11.2 Subject to the exclusions that English law does not allow FinBaze to limit, FinBaze's total aggregate liability is limited to the fees actually paid to FinBaze for the Service in the two (2) months preceding the claim.
11.3 If any Enterprise access is provided without payment, FinBaze has no liability for that unpaid period to the fullest extent permitted by law, as stated in the Terms.
11.4 The Customer may not multiply a liability cap by the number of Affiliates, Linked Businesses, Enterprise Users, claims or claimants. Affiliates have no separate cap unless an Order Form expressly states otherwise.
12. General
12.1 FinBaze may update this Schedule in accordance with the change provisions in the Terms.
12.2 The governing law, exclusive jurisdiction and other general provisions in the Terms apply.
12.3 Questions and formal notices may be sent to info@finbaze.com.
