E1 — Scope and precedence
- This Enterprise Schedule supplements the FinBaze SaaS Terms of Service for Customers using the Service under a signed Enterprise Order Form.
- Enterprise is offered exclusively as a custom agreement. There is no standard public Enterprise Subscription, and marketing material creates no entitlement to Enterprise functionality, pricing or support.
- Capitalised terms have the meaning in the Terms of Service unless this schedule provides otherwise.
- In the event of conflict, the order in section 2 of the Terms of Service applies. A signed Order Form prevails over this schedule.
- This schedule does not apply to public Subscriptions or bookkeeping firms unless the Order Form expressly provides otherwise.
E2 — Additional definitions
- Enterprise Environment: the agreed environment in which the Customer can jointly manage multiple Administrations and Users.
- Linked Administration: an Administration added by the Customer to the Enterprise Environment.
- Enterprise User: a User authorised by the Customer to access the Enterprise Environment or a Linked Administration.
- Affiliate: a legal entity that directly or indirectly controls, is controlled by or is under common control with the Customer.
- Order Form: the signed quotation, order, master services agreement or similar custom agreement setting out scope, prices, term and any deviations.
E3 — Custom Service
- The scope of Enterprise is determined exclusively by the Order Form and documents incorporated or identified in it.
- Where agreed, Enterprise may include:
- management of multiple Administrations;
- group overviews and reports;
- User access across multiple Administrations;
- roles and approval processes;
- implementation or onboarding support;
- integrations, automation and AI functionality.
- Only functionality stated in the Order Form or offered in the activated Enterprise Environment is included.
- Group overviews, consolidation and automation are tools. The Customer remains responsible for principles, controls, approvals and statutory reporting.
- Unless a signed Order Form or separate agreement provides otherwise, no guaranteed response times, uptime percentages, service credits, certifications or other service levels apply.
- The AI and Acceptable Use Addendum applies to AI, automation and acceptable use.
E4 — Order Form, pricing and billing
- Enterprise prices, currency, billing frequency, term, renewal, notice period, included usage and other commercial terms appear exclusively in the Order Form.
- The Enterprise Agreement is formed when both parties sign the Order Form or FinBaze begins performance after the Customer’s written acceptance.
- Marketing pages, presentations, demonstrations and oral statements do not amend the Order Form.
- Custom implementation, data migration, training, phased rollout or other professional services are included only where described in the Order Form.
- FinBaze B.V. issues invoices unless the Order Form expressly identifies another FinBaze contracting entity.
- Payment, VAT, non-payment, indexation and suspension follow the Terms of Service unless the Order Form expressly provides otherwise.
- Price changes during a fixed term require written agreement unless the Order Form includes an indexation or price-review mechanism.
E5 — Affiliates and Administrations
- The Customer may add Affiliates as Linked Administrations to the Enterprise Environment to the extent permitted by the Order Form.
- No separate paper agreement with FinBaze is required to add an Affiliate unless the Order Form or FinBaze expressly requires one for that Affiliate.
- The Customer warrants that it is authorised to add the Affiliate and have its data processed through the Enterprise Environment.
- The contracting Customer remains responsible for all Linked Administrations, Affiliates and Enterprise Users and all fees due unless otherwise agreed in writing.
- Adding an Affiliate does not automatically make that Affiliate a separate contracting party of FinBaze.
E6 — Access and administration
- The Customer appoints administrators who invite Enterprise Users, assign roles, revoke access and link or unlink Administrations.
- The Customer applies appropriate access restrictions and periodically reviews whether Users still require access.
- Access across Administrations may expose confidential, financial and personal data of different Affiliates. The Customer must ensure valid internal authority and a lawful basis.
- The Customer remains responsible for all actions of Enterprise Users and the accuracy of instructions to FinBaze.
- The Customer may not resell the Enterprise Environment to non-affiliated third parties or offer it as a white-label service unless expressly permitted by the Order Form.
E7 — Support
- FinBaze will use reasonable efforts to provide support through the channels stated in the Order Form.
- Priorities, named contacts, support hours and response times apply only if expressly stated in the Order Form or a separate service agreement.
- The Customer must timely provide sufficient information, access and contacts to enable FinBaze to provide support.
- Third-Party Service outages or restrictions are outside agreed service levels unless expressly covered by a signed service agreement.
E8 — Privacy, security and data
- For Customer Data in Linked Administrations, the Customer or relevant Affiliate is generally the controller and FinBaze the processor.
- By linking Administrations and granting access, the Customer instructs FinBaze to make Customer Data available according to that access.
- The Customer is responsible for the lawfulness of data sharing and access among Affiliates.
- The DPA applies where FinBaze processes personal data on the Customer’s behalf.
- The Privacy Policy describes FinBaze’s processing and sub-processors.
- Additional security measures or audit obligations apply only where agreed in writing.
E9 — Term, termination and consequences
- The term, renewal and notice period are set out in the Order Form. Ending one Administration does not automatically end the entire Enterprise Agreement.
- FinBaze may suspend or terminate under section 14 of the Terms of Service, subject to any cure periods in the Order Form.
- On termination:
- the right to the Enterprise Environment ends on the agreed end date;
- links between Administrations may be removed;
- outstanding amounts remain due;
- provisions that by nature survive remain effective.
- The Customer must export Customer Data while access remains available. FinBaze does not guarantee export access after access ends.
- Retention and deletion after termination are governed by the Privacy Policy, DPA, legal obligations and Order Form.
- FinBaze provides no standard deletion certificate and is not required to provide assisted migration, conversion or transfer to another supplier unless expressly stated in a signed Order Form.
- Where assisted migration or another exit service is agreed, its scope, timing and fees are governed by the Order Form.
E10 — Liability and changes
- Section 13 of the Terms of Service applies in full unless a signed Order Form expressly sets a different liability cap.
- FinBaze may amend this schedule under section 15 of the Terms of Service. An amendment to a fixed custom agreement requires written consent to the extent provided by the Order Form.
- The Customer indemnifies FinBaze against claims arising from unauthorised access among Affiliates, unlawful instructions or use outside the Order Form, except to the extent directly caused by FinBaze’s intent or wilful recklessness.
