2 — Applicability and precedence
- These terms apply to all offers, Accounts, Subscriptions and Agreements under which FinBaze B.V. provides the Service.
- Customers in the Netherlands and other European Union countries contract with FinBaze B.V. unless otherwise agreed in writing.
- United Kingdom customers are subject to separate terms of FinBaze Limited and should consult the terms for the UK entity.
- The Service is exclusively for business customers. Consumers may not create an Account or Subscription. The Customer warrants that it acts in the course of a profession or business.
- By creating an Account, starting a Subscription, accepting an Order Form or using the Service, the Customer accepts these terms.
- Deviations are valid only when agreed in writing. The Customer’s general terms are rejected unless accepted by FinBaze in writing.
- In the event of conflict, the following order applies to the extent mandatory law does not provide otherwise:
- a signed Order Form or signed master services agreement;
- the DPA, to the extent personal data is concerned;
- the AI and Acceptable Use Addendum, for AI and acceptable-use matters;
- the applicable schedule, including the Bookkeepers Schedule or Enterprise Schedule;
- these terms;
- the Privacy Policy, which is informational unless expressly stated otherwise.
3 — The Service
- For the Agreement’s duration, FinBaze grants the Customer a limited, non-exclusive and non-transferable right to use the Service for its own business operations.
- Available functionality depends on the Subscription, its configuration and relevant Third-Party Services.
- The Service may include bookkeeping, reporting, invoicing, document processing, bank connections, integrations, automation, AI-assisted features and mobile applications.
- The Service may support or electronically submit Dutch tax filings through Digipoort and the Dutch Tax Administration where available under the Subscription.
- FinBaze provides the Service on a best-efforts basis. It does not replace an accountant, tax adviser, lawyer or other professional adviser.
- FinBaze does not warrant that entries, matches, reports, filings, synchronisations or AI outputs will always be accurate, complete or current. The Customer remains responsible for review and approval.
- Unless agreed in writing, no uptime guarantees, service credits, certification guarantees or other service levels apply.
- FinBaze may modify, expand or discontinue parts of the Service. FinBaze will provide advance notice where reasonable if core functionality is materially reduced.
- FinBaze is not the Customer’s payment service provider for end-customer payments. The Customer remains responsible for its own bank, payment-provider and online-store relationships.
- These terms govern mobile applications between FinBaze and the Customer. Apple, Google or another app store’s terms may also apply between the User and that store.
4 — Accounts and security
- The Customer must provide accurate, complete and current account, company, registration, address and tax information.
- The Customer is responsible for all Users and actions under its Accounts and Administrations, confidentiality of access methods, access management and security of connected devices and external accounts.
- The Customer must obtain all permissions needed to process Customer Data through the Service.
- Accounts are personal and may not be shared unless expressly supported by the Service.
- The Customer must promptly notify FinBaze of suspected misuse, unauthorised access or a security incident.
- FinBaze may apply reasonable security measures, usage limits and verification requirements.
5 — Subscriptions, fees and cancellation
- Public business plans. Public Subscriptions for small and medium-sized businesses include a fourteen (14) day trial and have no minimum term unless expressly stated otherwise when subscribing.
- Trial. The paid Subscription starts after the trial under the terms shown when subscribing unless cancelled in time. Section 13 applies during the trial.
- Free plan. A free plan may only be available as a downgrade for an existing Customer. A new Customer cannot start directly on a free plan. Comparison tables and marketing columns do not create a right to a free start.
- Bookkeeping firms. Bookkeeping firms receive no free trial and have a twelve (12) month minimum term. The Bookkeepers Schedule applies.
- Enterprise. Enterprise is available only under a custom agreement. There is no standard public Enterprise Subscription. The Enterprise Schedule applies when incorporated by an Order Form.
- Prices. Applicable prices, usage charges and included quantities are exclusively those shown at checkout, in the Order Form or current price list. Amounts exclude VAT and other charges unless stated otherwise.
- AI usage charges. Automated purchase-invoice processing and AI letter extraction may incur usage charges beyond the quantities included in the Subscription. Those charges are billed with the Subscription. Current allowances, band fees and per-file rates are on the price list, pricing page or checkout; these Terms do not hard-code amounts.
- Billing. Customers under these terms are billed by FinBaze B.V. The Customer authorises FinBaze and its payment provider to collect amounts due using the selected payment method.
- The Customer must pay within the stated period, without suspension or set-off to the extent permitted by law. FinBaze may charge statutory commercial interest and reasonable collection costs on overdue amounts.
- FinBaze may index prices annually on 1 January to reflect general wage, cost and price developments.
- FinBaze may additionally change prices. FinBaze will provide reasonable prior notice of every indexation or other price change and state its effective date.
- A public Subscription without a minimum term may be cancelled through the customer portal or FinBaze. The portal shows when access ends, usually at the end of the current billing period.
- Amounts already paid are non-refundable unless mandatory law or a written agreement provides otherwise. The upgrade credit in section 16 is not a refund of a prior invoice; it is applied against the new invoice for the remaining days.
- The applicable schedule and Order Form contain additional term and cancellation rules for bookkeeping firms and Enterprise customers.
- FinBaze may apply reasonable usage and fair-use limits.
- Plan changes (public self-service). The Customer may change a public self-service plan in the Service. An upgrade to a higher-priced plan takes effect immediately. FinBaze credits the unused days of the current plan for the rest of the current billing period (inclusive of the change date, UTC) and invoices those same days at the new plan price. FinBaze may charge the difference, plus applicable VAT, to the payment method on file. That credit is applied to the new invoice and is not a cash refund. A move to an equal or lower-priced plan takes effect for access immediately; the fee already invoiced for the current billing period is not reduced or credited. The lower fee applies from the next billing period that has not yet been invoiced. Usage charges already on the current invoice (extra bank accounts, AI, payroll) are not part of the plan-change credit. If the current period has not been invoiced yet, including during the trial, only the plan price changes; there is no mid-period credit or extra invoice.
6 — Customer obligations and acceptable use
- The Customer must use the Service only for lawful business purposes and according to the Agreement.
- The Customer must not violate laws or third-party rights, provide false or misleading data, activate connections without authority, distribute malware, circumvent security, disrupt the Service, process harmful content or resell or copy the Service without authorisation.
- The Customer remains responsible for its accounts, filings, payments, statutory retention duties and review of automated actions.
- The AI and Acceptable Use Addendum contains additional AI, automation and acceptable-use rules.
7 — AI and automation
- The Service may use AI and automation for document processing, proposed entries, matching, summaries and user assistance.
- AI outputs may be inaccurate, incomplete, biased or outdated. The Customer must review outputs before relying on them, especially for tax, financial, legal or payment decisions.
- By using AI features, the Customer instructs FinBaze to process relevant Customer Data and, where needed, provide it to engaged suppliers.
- FinBaze may use Customer Data to train, test, evaluate and improve its own models, automation and features, subject to the Agreement, DPA, Privacy Policy and applicable law.
- Under FinBaze’s contractual arrangements, external AI suppliers—including Anthropic, OpenAI, Google and Amazon—do not use Customer Data to train their general models.
- Additional rules are in the AI and Acceptable Use Addendum and Privacy Policy.
8 — Third-Party Services
- The Service may depend on banks, open-banking providers, payment providers, online stores, messaging services, government facilities, registries, hosting providers and AI suppliers.
- Separate terms and privacy rules may apply to Third-Party Services.
- The Customer authorises FinBaze to retrieve, transmit and process data through activated connections for the Service.
- FinBaze is not responsible for the availability, accuracy or lawfulness of Third-Party Services except where mandatory law provides otherwise.
- A change, outage, restriction or discontinuation may affect the Service. FinBaze will use reasonable efforts to mitigate the impact but does not guarantee a replacement.
- FinBaze may suspend or discontinue a connection where a relevant supplier, bank or other critical third party excludes the Customer or its use.
9 — Data, privacy and DPA
- The Customer retains its rights in Customer Data.
- For personal data in the Customer’s accounts, the Customer is generally the controller and FinBaze the processor. FinBaze may be the controller for account, billing, security and its own business data.
- The DPA applies where FinBaze processes personal data on the Customer’s behalf.
- FinBaze’s sub-processors are listed in the Privacy Policy. The DPA contains additional rules on sub-processors, security, international transfers and deletion.
- The Customer warrants that Customer Data is lawfully provided and that all required legal grounds, notices and permissions exist.
- Retention and deletion are governed by the Privacy Policy, DPA, legal obligations and applicable schedules.
- When a bookkeeping firm detaches an Administration, data may be retained for a statutory period—typically seven (7) years in the Netherlands—under the Bookkeepers Schedule. Regaining access requires reactivating the client.
10 — Intellectual property
- All rights in the Service, software, designs, documentation, brands, models, methods and know-how remain with FinBaze or its licensors.
- For the processing duration, the Customer grants FinBaze a worldwide, non-exclusive right to host, copy, process, display and use Customer Data to provide, secure and support the Service, comply with law, prevent fraud and improve its own models and features as described in section 7.
- FinBaze may use feedback and suggestions without compensation.
- The Customer must not copy, reverse-engineer or decompile the Service or use it to build a competing service, except where mandatory law permits.
11 — Confidentiality
- Each party must keep the other’s confidential information secret and use it only to perform the Agreement.
- This does not apply to information that is lawfully public or already known, independently developed or lawfully obtained from a third party.
- Legally required disclosure is permitted, with advance notice where allowed.
- FinBaze may share information with employees and suppliers who need it for the Service and are bound by appropriate confidentiality duties.
12 — Warranties and responsibility
- The Service is provided “as available” and “as is” to the extent permitted by law.
- FinBaze does not warrant uninterrupted, error-free or completely secure operation or that the Service meets every specific Customer obligation.
- The Customer is responsible for Customer Data accuracy, review of entries, reports, filings and AI outputs, timely filings and payments, legal compliance and appropriate exports while access remains.
- Information and suggestions in the Service are not professional advice.
13 — Liability
- To the extent permitted by law, FinBaze is not liable for indirect or consequential loss, lost profits or savings, loss of goodwill, reputational damage, business interruption, loss or corruption of data, or loss caused by Third-Party Services.
- FinBaze’s total liability arising from or relating to the Agreement is limited to the fees actually paid by the Customer to FinBaze in the two (2) months preceding the event giving rise to liability, excluding VAT.
- During a trial and where no fees were paid to FinBaze in the preceding two (2) months, FinBaze has no liability to the extent permitted by law.
- These limitations do not apply to intent or wilful recklessness by FinBaze or its management, or where mandatory law prohibits limitation.
- The Customer indemnifies FinBaze against third-party claims arising from Customer Data, breach of the Agreement or unlawful use by or for the Customer, except to the extent directly caused by FinBaze’s intent or wilful recklessness.
14 — Suspension, termination and export
- FinBaze may suspend all or part of the Service or terminate the Agreement for non-payment, material breach, insolvency, fraud, abuse, serious security risk, illegal content or exclusion by a critical supplier, bank or other Third-Party Service.
- FinBaze will provide a reasonable cure period for a remediable breach unless immediate action is needed to prevent harm, fraud, a security incident or breach of law.
- On termination, the right to use the Service ends on the date shown in the portal or applicable agreement.
- The Customer must export Customer Data while access remains. FinBaze does not guarantee further export access after access ends.
- Data is retained or deleted under the Privacy Policy, DPA, legal obligations and applicable schedules.
- For Enterprise customers, a deletion certificate, assisted migration or other exit services are included only if expressly stated in a signed Order Form.
- Outstanding payments and provisions that by nature survive remain effective.
15 — Changes
- FinBaze may amend these terms and applicable schedules due to changes in the Service, operations, law, security or commercial arrangements.
- The current version will be published on the website or in the Service with a version date.
- Material changes will be announced with reasonable prior notice.
- Continued use after the effective date constitutes acceptance unless mandatory law or the notice provides otherwise.
16 — Force majeure
- FinBaze is not liable for delay or non-performance caused by circumstances outside its reasonable control, including supplier, bank, government-facility or network outages, power failures, cyberattacks, war, epidemics, natural disasters, government measures and labour disputes.
- FinBaze will use reasonable efforts to mitigate the effects.
17 — Miscellaneous
- The Agreement is the entire agreement regarding the Service and replaces earlier arrangements on that subject.
- The Customer may not assign rights or obligations without FinBaze’s prior written consent.
- FinBaze may assign the Agreement to a group company or in connection with a merger, reorganisation, sale or acquisition.
- Affiliates of an Enterprise customer may be added as linked Administrations without separate paperwork where the Order Form and Enterprise Schedule permit. The contracting Customer remains responsible unless otherwise agreed in writing.
- A bookkeeping firm using white-label features must clearly tell clients that FinBaze supplies the software. The Bookkeepers Schedule contains additional rules.
- Failure to exercise a right does not waive it.
- If a provision is invalid, the remaining provisions remain effective and the invalid provision is replaced by a valid provision that most closely reflects its purpose.
- Electronic communications and acceptance qualify as writing unless law requires another form.
18 — Governing law and disputes
- The Agreement is governed exclusively by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods is excluded.
- Disputes arising from or relating to the Agreement are subject to the exclusive jurisdiction of the competent courts of the District Court of Amsterdam.
- The parties will first use reasonable efforts to resolve a dispute through consultation.
