This Bookkeeping Firms Schedule (Schedule) forms part of the FinBaze Limited Terms of Service (Terms) for a bookkeeping firm or similar professional intermediary that uses FinBaze's firm and multi-client functionality (Firm or Customer).
By starting a Firm Subscription, using a Firm workspace or attaching a Client Profile, the Firm accepts this Schedule in addition to the Terms.
1. Scope and priority
- Capitalised terms have the meanings given in the Terms unless defined here.
- The Terms continue to apply except where this Schedule expressly varies them for Firm use.
- For Firm-specific matters, the order of precedence is: signed Order Form; Data Processing Agreement for personal-data processing; this Schedule; the Terms; and non-binding product or marketing descriptions.
- This Schedule is not an enterprise agreement, privacy notice or data processing agreement.
2. Definitions
| Term | Meaning |
|---|---|
| Client Profile | A company or bookkeeping workspace attached to the Firm and managed through Firm functionality |
| End Client | The business or professional whose bookkeeping is maintained in a Client Profile |
| Firm Subscription | The bookkeeper plan selected at checkout or agreed in an Order Form |
| Firm workspace | The multi-client environment through which the Firm manages Client Profiles |
| White-label | Permitted Firm branding and, where enabled, customer-configured email delivery |
3. Multi-client use
- An active Firm Subscription permits the Firm to create, attach and manage Client Profiles within applicable product and usage limits.
- The Firm remains FinBaze's Customer. An End Client does not become FinBaze's customer merely because it receives access to a Client Profile.
- The Firm is responsible for:
- its engagement and professional relationship with each End Client;
- obtaining authority to create and manage Client Profiles;
- managing users, roles, invitations and access revocation;
- ensuring connected banks, shops, payment providers and other services are lawfully authorised;
- verifying bookkeeping, automation and AI outputs; and
- all filings, payments and instructions initiated by its users.
- FinBaze is a software provider and is not the End Client's accountant, tax adviser, lawyer or payment provider unless separately agreed in writing.
4. White-label and mandatory FinBaze disclosure
- Where enabled, the Firm may apply its branding to the Firm workspace and client-facing communications.
- White-label functionality does not conceal or change FinBaze's role as the underlying software provider.
- The Firm must clearly and prominently tell every End Client that:
- the bookkeeping software platform is provided by FinBaze;
- the Firm, and not FinBaze, provides the Firm's bookkeeping, accounting, tax or advisory services; and
- FinBaze's Privacy Policy, Data Processing Agreement where applicable, and relevant platform terms apply to FinBaze's role.
- The disclosure must be provided before or when an End Client first receives access and must remain reasonably accessible afterwards.
- The Firm is responsible for lawful email sending, accurate sender identification and all branding assets it supplies.
5. Features and tax filing
- Client Profile features are those shown in the Service for the active Firm Subscription. Feature availability may depend on configuration, jurisdiction, usage limits and third-party services.
- UK tax or HMRC functionality, including Making Tax Digital functionality, is available only where FinBaze has enabled the relevant filing channel for the Client Profile.
- Availability of a filing feature does not transfer the Firm's or End Client's legal responsibility for accuracy, approval, deadlines, payment or acceptance by HMRC.
- AI, API and Model Context Protocol use is subject to the AI and Acceptable Use Addendum.
6. Fees, billing and minimum term
- No trial. The standard Firm Subscription does not include a free trial. Billing starts when the subscription begins.
- Minimum term. The standard Firm Subscription has a minimum term of 12 months. It cannot be cancelled for convenience before the end of that term.
- After the minimum term, cancellation and renewal follow the terms displayed at checkout or stated in an Order Form.
- Prices, included allowances, metered usage, currency, taxes and billing frequency are those displayed at checkout or stated in an Order Form. Checkout pricing prevails over earlier marketing or sales material.
- FinBaze Limited is the contracting and billing party for this Schedule. Payments are collected using the method offered at checkout or stated in the Order Form.
- Prices exclude VAT and similar taxes unless expressly stated otherwise.
- Firm-to-client invoices concern the Firm's own services. FinBaze only provides technical functionality and is not a party to those invoices or responsible for their tax treatment or collection.
7. Data protection
- For personal data in Client Profiles, the Firm and End Client must determine their respective controller and processor roles.
- FinBaze normally acts as processor for Client Profile content and as controller for its account, billing, security, support and business-administration data.
- The Firm warrants that it has authority to instruct FinBaze to process Client Profile data, including through AI, messaging, integrations, API and Model Context Protocol functionality.
- The Privacy Policy, Data Processing Agreement and AI and Acceptable Use Addendum apply as relevant.
8. End of a client engagement
- The Firm must remove or adjust its access when its engagement with an End Client ends.
- The Firm and End Client must arrange any available export before access ends.
- FinBaze may retain Client Profile data for the statutory bookkeeping period instructed by the relevant controller. After that period, deletion follows the Privacy Policy and DPA.
- Closing or detaching a Client Profile does not automatically create a direct subscription between FinBaze and the End Client.
- If the Firm or End Client later needs platform access to records that remain lawfully retained, the applicable subscription or Client Profile must be reactivated. Reactivation may require payment of the then-current fees and verification of access authority.
9. Suspension and termination
- FinBaze may suspend access for non-payment, unlawful use, abuse, security risk, material breach or where required by law or a critical provider.
- Ending the Firm Subscription ends the Firm's right to use the Firm workspace and may end access to Client Profiles.
- Accrued fees and provisions concerning confidentiality, intellectual property, data protection, liability, disputes and lawful retention survive termination.
10. Changes
FinBaze may update this Schedule in accordance with the Terms. FinBaze will provide reasonable notice of material adverse changes affecting an active Firm Subscription unless an immediate change is required for legal, security or abuse-prevention reasons.

Bookkeepers Schedule — FinBaze Limited
Version: 2026-08-12
Effective date: 12 August 2026
Parent terms: FinBaze Limited Terms of Service
Contracting and billing party: FinBaze Limited (company number 16303685)
Governing law: England and Wales
Language: English is authoritative. A Dutch courtesy translation is available at schedule-bookkeepers.nl.md. If the translations conflict, the English version prevails.
This Bookkeepers Schedule (Schedule) supplements the FinBaze Limited Terms of Service (Terms) for a bookkeeping firm, accountancy practice or similar business that uses FinBaze to manage work for clients (Firm, you, your).
By starting a bookkeeping firm subscription or using the firm features of the Service, you agree to this Schedule and the Terms on behalf of the Firm.
1. How this Schedule applies
1.1 Capitalised words have the meanings given in the Terms unless this Schedule defines them.
1.2 This Schedule forms part of the Agreement. It applies in addition to the Terms and deals specifically with use by bookkeeping firms. If this Schedule conflicts with the Terms on a bookkeeper-specific matter, this Schedule prevails. The full order of precedence in clause 2.3 of the Terms continues to apply.
1.3 The AI & Acceptable Use Addendum, Privacy Policy and DPA also apply as described in the Terms.
1.4 FinBaze Limited contracts with and bills the Firm for a UK bookkeeping firm subscription. An End Client does not become FinBaze's customer merely because the Firm manages that client's records through the Service.
2. Definitions
Client Account means the separate business records and workspace that the Firm manages for an End Client through the Service.
End Client means a business or other person whose records the Firm manages in a Client Account.
Firm Subscription means the Firm's subscription to the bookkeeping firm features of the Service.
White-label Features means options that allow the Firm to display its own name, logo, colours or sender details in parts of the Service or communications.
3. Firm and End Client relationship
3.1 The Firm may create, connect and manage Client Accounts within the limits shown at checkout or in an Order Form.
3.2 The Firm remains responsible to FinBaze for:
- all use of the Service by its staff and End Clients;
- deciding who may access each Client Account and what they may do;
- promptly removing access when it is no longer needed;
- obtaining authority from each End Client to manage its records and connect its services;
- the accuracy and legality of instructions and data supplied through each Client Account; and
- complying with the Terms, this Schedule and applicable law across all Client Accounts.
3.3 The Firm must have a suitable agreement with each End Client covering the Firm's professional services, responsibilities, fees, data use and access arrangements.
3.4 FinBaze supplies software to the Firm. FinBaze is not the End Client's bookkeeper, accountant, auditor, tax adviser or lawyer and is not responsible for the Firm's professional services.
3.5 Actions taken by the Firm, its staff or an End Client within their permitted access bind the Firm under the Agreement. This includes approving entries, connecting banks or other providers, enabling automation and submitting filings.
4. White-label Features and client disclosure
4.1 Where the Firm Subscription includes White-label Features, the Firm may use them within the limits shown in the Service.
4.2 The Firm must clearly tell every End Client that:
- FinBaze Limited supplies the software platform;
- the Firm, not FinBaze, supplies the bookkeeping, accounting or advisory services;
- FinBaze is not responsible for the Firm's professional work; and
- the End Client's use of or access to the software does not by itself create a separate contract between the End Client and FinBaze.
This disclosure is mandatory even where FinBaze branding is reduced or not displayed.
4.3 White-label Features do not make FinBaze a party to the Firm's engagement with an End Client or transfer responsibility for advice, records, filings or communications to FinBaze.
4.4 The Firm must own or have permission to use all names, logos and other materials it supplies. It is responsible for lawful and accurate sender details and communications.
5. Service features and filings
5.1 Client Accounts receive the features and limits shown for the Firm Subscription at checkout or in an Order Form. Features may differ from self-service business plans.
5.2 UK HMRC and Making Tax Digital filing capabilities are available where enabled for the Firm Subscription and the relevant Client Account.
5.3 Filing capability is software assistance only. The Firm and End Client remain responsible for checking records and returns, obtaining all necessary authority, approving submissions, meeting deadlines and paying tax. FinBaze does not guarantee acceptance by HMRC.
5.4 Automated and artificial intelligence outputs may be wrong or incomplete. The Firm must arrange appropriate human review before relying on them for professional work, payments or filings.
5.5 The AI & Acceptable Use Addendum applies to artificial intelligence and automation used by the Firm, its staff and End Clients.
6. Fees, no trial and minimum term
6.1 Prices, included usage, additional usage charges, currency and billing frequency are only those shown at checkout when the Firm subscribes or in an Order Form. Prices shown elsewhere do not apply.
6.2 FinBaze Limited invoices and collects all fees for a UK Firm Subscription. Fees, taxes, payment, price changes, annual indexation, non-payment and suspension are governed by the Terms unless an Order Form expressly states otherwise.
6.3 A Firm Subscription does not include a free trial. Fees begin on the subscription start date shown at checkout or in the Order Form.
6.4 A Firm Subscription has a minimum term of twelve (12) months from its start date. The Firm cannot end the Firm Subscription before the end of that minimum term unless FinBaze agrees in writing or the Agreement gives the Firm a right to terminate for an unremedied material breach.
6.5 The Firm may give notice of cancellation during the minimum term, but cancellation takes effect no earlier than the end of that term. After the minimum term, cancellation and the access end date follow the Terms and any information shown in the customer portal or Order Form.
6.6 Fees already paid are non-refundable except where required by law or expressly agreed in an Order Form.
6.7 If the Firm charges End Clients through or alongside the Service, those charges are between the Firm and the End Client. FinBaze is not a party to them and is not responsible for the Firm's pricing, collection, refunds or tax treatment.
7. Data protection and confidentiality
7.1 The Firm must have all rights, instructions and lawful grounds needed to place End Client data in the Service and instruct FinBaze to process it.
7.2 The Firm and each End Client are responsible for deciding their respective data protection roles. FinBaze normally acts as processor for personal data in Client Accounts and as controller for account, billing, security and communications data, as described in the Privacy Policy and DPA.
7.3 The Firm must provide required privacy information to End Clients and other individuals and must ensure that its use of the Service, including artificial intelligence, messaging, integrations and filings, complies with data protection law.
7.4 FinBaze's sub-processors and relevant processing arrangements are described in the Privacy Policy and DPA.
7.5 The confidentiality obligations in the Terms apply to the Firm workspace and all Client Accounts.
8. End of a client relationship or Firm Subscription
8.1 When the Firm's relationship with an End Client ends, the Firm must:
- remove access that is no longer authorised;
- export or provide records while access remains available;
- settle any responsibilities with the End Client; and
- close, disconnect or transfer the Client Account only as the Service and the Agreement allow.
8.2 Ending a client relationship, closing a Client Account or ending the Firm Subscription does not automatically create a direct subscription between the End Client and FinBaze.
8.3 After access to a Client Account ends, its data may be kept where required for statutory retention, legal claims, security or backups. It will then be deleted in accordance with the Terms, Privacy Policy and DPA. Data is generally permanently deleted within no more than one (1) year after it is marked for deletion or access ends, unless a longer legal retention period applies.
8.4 Retained data is not active access. To access a Client Account again, the Firm must reactivate that client through the Service and have an active Firm Subscription. Reactivation may require payment and is possible only while the data remains available; deleted data cannot be restored.
8.5 The Firm must export Customer Data before access ends. FinBaze does not provide assisted migration or a deletion certificate unless an Order Form expressly includes it.
8.6 Suspension and termination rights in the Terms apply, including for abuse, illegal content, provider restrictions, non-payment, material breach and insolvency.
9. Liability and indemnity
9.1 The liability rules in clause 15 of the Terms apply to this Schedule and all Client Accounts. Subject to the exclusions that English law does not allow FinBaze to limit, FinBaze's total aggregate liability is limited to the fees actually paid to FinBaze for the Service in the two (2) months preceding the claim.
9.2 Because a Firm Subscription has no trial, the no-liability rule for a trial will not ordinarily arise. If the Firm or an End Client nevertheless receives any unpaid access, FinBaze has no liability for that period to the fullest extent permitted by law, as stated in the Terms.
9.3 The Firm will indemnify FinBaze as provided in the Terms for third-party claims arising from the Firm's professional services, End Client relationship, White-label Features, instructions, Customer Data or breach of the Agreement, except to the extent caused by FinBaze's breach, negligence, fraud or wilful misconduct.
10. Changes and contact
10.1 FinBaze may update this Schedule in accordance with the change provisions in the Terms.
10.2 Questions and formal notices may be sent to info@finbaze.com.
